SportDex Terms of Service

1. Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the SportDex website, mobile applications, marketplace, catalog, user-generated database, price tracking tools, collection tools, image-based identification tools, and any related content, features, products, and services (collectively, the “Service”) operated by Vortemol LIMITED, a legal entity incorporated under the laws of the Republic of Cyprus, having its registered office at Florinis 7, Greg Tower, 2nd Floor, 1065, Nicosia, Cyprus (“SportDex,” “Company,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

We may update these Terms from time to time by posting a revised version and updating the “Last updated” date. To the extent permitted by law, continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

If a translation of these Terms conflicts with the English-language version, the English-language version controls.

2. Description of the Service

SportDex is an online and mobile service that may allow users to:

• identify sports cards from user-submitted images;
• browse and contribute to a user-generated card database;
• track current and historical price information and trends;
• manage collections and watchlists;
• create marketplace listings and buy or sell eligible items with other users; and
• access premium subscription features.

The Service may include automated tools, price estimates, historic sales information, listing tools, messaging tools, and search or matching functionality.

SportDex is not an appraiser, grading company, authentication service, broker, auction house, dealer, pawn shop, or fiduciary. Unless expressly stated otherwise, SportDex is not the seller or buyer of items listed by users and is not a party to transactions between users.

3. Eligibility and Accounts

You must be at least 16 years old to use the Service generally. You must be at least 18 years old and legally capable of entering into binding contracts to use the marketplace, create listings, make purchases, receive payouts, or otherwise engage in transactions.

If you create an account, you must provide accurate, current, and complete information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must promptly notify us of any suspected unauthorized access or security incident involving your account.

We may suspend, restrict, or terminate accounts, listings, submissions, or access to the Service at any time if we believe you violated these Terms, created risk or potential legal exposure, engaged in fraud or abuse, infringed another party’s rights, or harmed the integrity of the Service.

4. User-Generated Database and User Content

SportDex includes a user-generated database. Users may submit, upload, post, transmit, store, or otherwise provide content through the Service, including card images, scans, photos, item descriptions, catalog edits, metadata, corrections, collection data, messages, usernames, profile information, listings, comments, and other materials (“User Content”).

You retain ownership of User Content you submit, as between you and SportDex.

However, by submitting User Content, you grant SportDex and its affiliates, service providers, sublicensees, successors, and assigns a worldwide, non-exclusive, transferable, sublicensable, royalty-free, perpetual, irrevocable license to host, store, reproduce, process, adapt, modify, format, publish, translate, distribute, publicly display, publicly perform, and otherwise use that User Content for the purposes of operating, improving, securing, training, promoting, and providing the Service, including the catalog, marketplace, search, matching, fraud prevention, moderation, and support functions.

You represent and warrant that:

• you own or control all rights necessary to submit the User Content and to grant the rights described in these Terms;
• your User Content and our use of it as authorized by these Terms will not infringe, misappropriate, or violate any copyright, trademark, trade dress, privacy, publicity, contractual, or other right of any person or entity;
• your User Content is accurate to the best of your knowledge and is not fraudulent, deceptive, misleading, defamatory, obscene, unlawful, or abusive; and
• if you upload images of cards or collectibles, you have the right to upload and authorize SportDex to display and use those images as provided in these Terms.

You understand and agree that all User Content is the sole responsibility of the user who submitted it. SportDex does not guarantee that any user-submitted content, catalog entry, listing, image, description, or message is accurate, complete, lawful, authentic, available, safe, or non-infringing.

We may, but are not obligated to, review, monitor, remove, edit, reject, disable access to, or preserve any User Content at our sole discretion.

5. Catalog, Price Data, and Identification Results

SportDex provides information and tools that may help users identify cards, estimate values, and track market trends. The Service may display card metadata, card images, user submissions, historic sales information, pricing analytics, comparable sales, collection values, rarity indicators, and other data.

All identification results, matches, estimated values, pricing analytics, historical pricing, and market data are provided for informational purposes only. They are not guarantees of authenticity, provenance, ownership, grade, condition, value, merchantability, investment performance, saleability, or legal compliance.

Card values can change rapidly and may depend on many factors, including condition, grading, authenticity, scarcity, market liquidity, regional demand, timing, shipping terms, fees, taxes, and buyer preferences. Users must perform their own due diligence before relying on any information or entering into any transaction.

SportDex may aggregate, calculate, normalize, or estimate pricing information from internal marketplace activity, third-party marketplaces, publicly available sources, user submissions, historic sales data, or other inputs. We do not guarantee the completeness, accuracy, timeliness, or suitability of such information.

Unless expressly authorized by SportDex in writing, you may not scrape, reproduce, republish, redistribute, sell, license, compile, or commercially exploit SportDex price data, valuation data, catalog data, market analytics, or other protected database content outside the ordinary permitted use of the Service.

6. Marketplace Terms

The marketplace is a venue that allows users to list, offer, buy, and sell eligible items with one another. Unless expressly stated otherwise, SportDex is not the buyer or seller of listed items and is not a party to the contract of sale between users.

Any sale contract is formed solely between the buyer and the seller. SportDex only provides tools and infrastructure to facilitate listings, discovery, communication, payment facilitation where available, and related marketplace functions.

SportDex does not control and does not guarantee:

• the existence, quality, authenticity, legality, condition, safety, or value of any item;
• the accuracy of listings, messages, or user profiles;
• that a buyer will complete a transaction or that a seller will ship an item;
• that any item is genuine, graded correctly, free from defects, or owned by the seller; or
• the identity, authority, solvency, or conduct of any user.

Users are solely responsible for their own transactions, including listing accuracy, legality, authenticity, shipping, insurance, export/import compliance, taxes, payment obligations, and dispute handling, except to the extent applicable law requires otherwise.

Sellers agree to:

• list only items they have the legal right to sell;
• provide accurate descriptions and images of listed items;
• disclose material defects, alterations, restorations, grading issues, ownership restrictions, and known authenticity concerns;
• fulfill sales promptly and in accordance with the listing terms; and
• comply with all applicable laws, payment-processor rules, tax requirements, and shipping requirements.

Buyers agree to:

• review listings carefully before purchase;
• pay all amounts due, including applicable shipping, taxes, duties, and fees; and
• comply with applicable laws.

We may remove listings, delay or restrict transactions, hold payouts where permitted, or require additional verification if we suspect fraud, illegality, infringement, policy violations, manipulation, chargeback risk, or other harmful conduct.

7. Prohibited Conduct

You may not use the Service to:

• violate any law, regulation, court order, or third-party right;
• submit false, misleading, or fraudulent content or listings;
• list counterfeit, stolen, unauthorized, or illegal items;
• infringe copyrights, trademarks, trade dress, rights of publicity, privacy rights, or other intellectual property rights;
• manipulate prices, bids, ratings, reviews, collections, watchlists, search ranking, or marketplace metrics;
• interfere with the operation or security of the Service;
• scrape, crawl, harvest, or extract data from the Service by automated means except as expressly authorized in writing;
• use bots or other automation to access the Service in a way that imposes unreasonable load or circumvents technical measures;
• upload malicious code or engage in phishing, spam, abuse, harassment, threats, money laundering, or other fraudulent or harmful conduct;
• collect personal information about other users without authorization; or
• circumvent fees, moderation, enforcement actions, or geographic or account restrictions.

Violations may result in content removal, listing cancellation, account suspension, account termination, payment holds, legal reporting, and other enforcement action.

8. Intellectual Property Complaints and Takedowns

SportDex respects intellectual property rights and expects users to do the same.

If you believe content on the Service infringes your copyright, trademark, or other rights, you may contact us using the contact information provided in these Terms or through any rights-reporting mechanism we make available. We may request information reasonably necessary to investigate the complaint, including proof of rights ownership, the specific content at issue, and the basis for the complaint.

We may remove or disable access to content, suspend accounts, cancel listings, or take other action in response to rights complaints, court orders, repeat infringement, or suspected violations. We may also forward a complaint to the affected user.

Submitting knowingly false or misleading complaints is prohibited and may create legal liability.

9. Third-Party Services and Payment Processors

The Service may contain links to third-party websites, services, tools, APIs, app stores, advertising partners, logistics providers, identity-verification providers, payment processors, grading services, marketplaces, or other third-party resources. We do not control and are not responsible for third-party services, content, policies, availability, or actions.

If payments, payouts, subscriptions, or in-app purchases are processed through Apple, Google, Stripe, PayPal, or any other third party, your use of those services may be subject to separate terms and policies imposed by those providers.

10. Fees, Subscriptions, and Payments

Certain features of the Service may require payment, including subscriptions, premium tools, marketplace fees, seller services, promotional features, or other paid offerings. Prices, billing terms, and feature availability may change from time to time to the extent permitted by law.

If you make a purchase, you authorize the applicable payment provider or app store to charge your selected payment method for all applicable amounts, including recurring charges where applicable.

Except where required by law, fees are non-refundable once charged. Marketplace fees, payment-processing fees, taxes, foreign exchange charges, and chargeback-related deductions may apply.

We may suspend access to paid features for failed payments, chargebacks, refund abuse, suspected fraud, or violations of these Terms.

11. Taxes

Users are solely responsible for determining, collecting, reporting, and remitting any taxes, duties, tariffs, customs charges, withholding obligations, or similar governmental assessments arising from their use of the marketplace or other monetized features, except where applicable law requires SportDex to do so.

12. Disclaimer of Warranties

To the maximum extent permitted by law, the Service, all content, all user content, all marketplace functionality, all identification results, and all price or value information are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.

SportDex disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranties arising out of course of dealing or usage of trade.

Without limiting the foregoing, SportDex does not warrant that the Service will be uninterrupted, error-free, secure, available at any particular time or location, free of viruses or harmful components, or that any identification, matching, value, pricing, or market data will be accurate, reliable, current, complete, or suitable for your purposes.

13. Limitation of Liability

To the maximum extent permitted by law, SportDex and its officers, directors, employees, affiliates, licensors, service providers, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or other intangible losses, arising out of or related to your use of or inability to use the Service.

To the maximum extent permitted by law, SportDex shall not be liable for any user content, listings, transactions, fraud, counterfeits, misidentifications, misestimated values, payment failures, shipping losses, grading disputes, market losses, or the acts or omissions of any user or third party.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service shall not exceed the greater of: (a) the amount you paid to SportDex for the Service in the 12 months before the event giving rise to the claim; or (b) USD 100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless SportDex and its officers, directors, employees, affiliates, service providers, and agents from and against any claims, demands, actions, damages, losses, liabilities, judgments, settlements, costs, and expenses, including reasonable legal fees, arising out of or related to:

• your use of the Service;
• your User Content;
• your listings, transactions, or disputes with other users;
• your violation of these Terms or any applicable law; or
• your infringement or misappropriation of any third-party rights.

15. Termination

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if we believe you violated these Terms, created legal risk, engaged in fraud or abuse, or if we otherwise determine it is necessary to protect the Service, our users, or third parties.

Upon termination, provisions that by their nature should survive will remain in effect, including without limitation provisions relating to licenses, disclaimers, limitations of liability, indemnification, payment obligations, and dispute-related provisions.

16. Governing Law

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by the laws of the Republic of Cyprus, without regard to conflict-of-law principles.

Subject to any mandatory rights you may have under applicable consumer law, the courts of Cyprus shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.

If you are a consumer residing in a jurisdiction that grants you non-waivable local consumer rights, those rights remain unaffected to the extent required by applicable law.
